Terms of Service

1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you and OXCARDS LTD ("we," "us," or "our"), concerning your access to and use of our website and services. You agree that by accessing our services, you have read, understood, and agree to be bound by all of these Terms of Service.

IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF SERVICE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING OUR SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

2. Services

OXCARDS LTD provides a platform that facilitates digital asset transactions and management. Our services may include, but are not limited to:

  • Digital asset storage and management
  • Transaction processing and settlement
  • API access for developers
  • Account management tools

3. User Representations

By using our services, you represent and warrant that:

  • You have the legal capacity and agree to comply with these Terms of Service.
  • You are not under the age of 18.
  • You are not a resident of or located in a jurisdiction where use of our services would be contrary to local law or regulation.
  • You will not use our services for any illegal or unauthorized purpose.
  • Your use of our services will not violate any applicable law or regulation.

4. User Registration

You may be required to register with OXCARDS LTD to access certain services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

5. Fees and Payment

You may be required to purchase or pay a fee to access some of our services. All payments made are final and non-refundable. You represent and warrant that:

  • You have the legal right to use any payment method(s) in connection with any purchase.
  • The information you supply to us is true, correct, and complete.

We reserve the right to refuse any order placed through our services. We may, in our sole discretion, limit or cancel quantities purchased per person, per household, or per order.

6. Prohibited Activities

You may not access or use the services for any purpose other than that for which we make them available. The services may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

Prohibited activities include, but are not limited to:

  • Engaging in any activity that violates any applicable law, rule, or regulation.
  • Attempting to bypass any measures designed to prevent or restrict access to the services.
  • Using the services in a manner inconsistent with any applicable laws or regulations.
  • Engaging in unauthorized framing of or linking to the services.
  • Uploading or transmitting viruses, Trojan horses, or other material that interferes with any party's uninterrupted use and enjoyment of the services.
  • Using the services to engage in any money laundering, terrorist financing, or other illicit financial activity.

7. Intellectual Property Rights

Unless otherwise indicated, the services and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the services (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights.

8. User Data

We will maintain certain data that you transmit to the services for the purpose of managing the services, as well as data relating to your use of the services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the services.

9. Governing Law

These Terms of Service and your use of the services are governed by and construed in accordance with the laws of the Republic of the Marshall Islands applicable to agreements made and to be entirely performed within the Republic of the Marshall Islands, without regard to its conflict of law principles.

10. Dispute Resolution

Any legal action of whatever nature brought by either you or us shall be commenced or prosecuted in the courts located in the Republic of the Marshall Islands, and you and we hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such courts.

11. Corrections

There may be information on the services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the services at any time, without prior notice.

12. Disclaimer

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF.

13. Limitation of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
